1. Purpose and precedence
1.1 This GenRapide Product Addendum (the “GenRapide Addendum”) supplements the Master Subscription Agreement, the Order Form, the DPA, the AUP and the AI Addendum, and applies whenever Customer subscribes to or uses GenRapide.
1.2 For GenRapide-specific matters this GenRapide Addendum prevails over the Master Subscription Agreement, except clauses 14, 30, 33 and 34 of that Agreement. The DPA prevails for personal data, and the AI Addendum for general AI matters unless this GenRapide Addendum is stricter. GenRapide Light is a separate Product with its own GenRapide Light Addendum, and nothing in this Addendum extends to it.
2. The Service
GenRapide is an AI-assisted platform for RFP, tender, bid, proposal and related response management. Depending on configuration and modules it may assist with RFP ingestion and extraction, requirement identification, tender summaries, compliance matrices, technical proposal drafting, response generation, content reuse, organisational knowledge retrieval, resume preparation, resource matching, requirement tagging, proposal review and bid workflow.
3. BnR360's role
GenRapide is a bid and proposal assistance platform. BnR360 does not become a bidder, prime contractor, subcontractor, proposal signatory, procurement representative, legal adviser, contracting officer, evaluator or government representative by providing it. Customer remains responsible for the final bid, proposal, tender response or submission, and decides whether a proposal is complete, accurate, compliant, commercially acceptable, legally appropriate and ready for submission.
4. No automatic compliance; source documents
4.1 That GenRapide identifies, extracts, summarises or responds to a requirement does not establish that a proposal complies with the RFP. GenRapide does not guarantee that it will identify every mandatory or rated requirement, instruction, contractual condition, security, pricing or certification requirement, attachment, schedule, amendment or addendum.
4.2 Customer shall review the original RFP, tender, solicitation, amendments, addenda and other authoritative materials before submission. AI summaries do not replace them.
4.3 Extraction and OCR quality may be reduced by scanned pages, images, poor text, unusual layouts, embedded tables, handwriting, inaccessible PDFs or corrupted files. Customer shall verify critical information against the source.
4.4 Classification of requirements as mandatory, rated, technical, financial, corporate, security, legal, administrative or other is decision support. Customer shall verify the official meaning and consequence of every requirement, every mandatory criterion and pass or fail condition, and scoring scale, maximum points, minimum score, weighting, evidence requirements and evaluation method for rated requirements.
5. Compliance matrices, tagging and status labels
5.1 A compliance matrix generated or assisted by GenRapide is an organisational tool and not a certification of compliance. Customer remains responsible for completeness, evidence, cross-references, attachments and status.
5.2 Where GenRapide tags content to a requirement, Customer shall verify that the tag is right, that the section cited addresses the requirement, and that the response satisfies it.
5.3 GenRapide shows status as marked as compliant or potentially addressed, with a statement that final compliance must be confirmed by the proposal team, and does not present a legal determination of compliance. Customer is responsible for every statement such as comply, fully compliant, meets requirement, certified or yes in a proposal.
6. AI-generated content and truthfulness
6.1 GenRapide may help generate executive summaries, technical responses, methodology, implementation approaches, management plans, transition plans, staffing responses, corporate experience, compliance narratives and other sections. All of it needs Customer review.
6.2 AI-generated content may contain fabricated or inaccurate project experience, names, dates, statistics, citations, references, certifications, standards, legislation or capabilities. Customer shall verify all factual statements and citations before submission. Citations and references may be inaccurate or non-existent.
6.3 Customer shall not knowingly use GenRapide to invent project history, client experience, contract values, certifications, references, qualifications or personnel experience. AI-generated text does not create a capability Customer does not have, and Customer shall not claim capabilities because GenRapide produced language that describes them. Customer shall verify that a proposed technical solution is actually deliverable.
6.4 BnR360 does not warrant that generated content is original, unique or free of third party rights. Customer shall review AI-generated and reused content for copyright, trademark, confidentiality and proprietary issues.
7. Experience, references, certifications, resumes and clearances
7.1 Customer must verify that corporate experience and reference projects occurred, were performed by the stated organisation, are described accurately and may lawfully be disclosed, and shall not submit a client reference without authority. BnR360 does not verify that a reference is current, approved or accurate.
7.2 Customer shall independently verify any ISO, SOC, security, professional or industry certification before including it, and shall not rely on AI output for certification status.
7.3 GenRapide may process resumes and resource profiles for bid requirements, and may help tailor them to a requirement. Customer must have lawful authority to use and submit them, should obtain candidate authorisation where required, shall not use GenRapide to fabricate skills, certifications, education, project experience or employment history, and shall independently verify security clearance information.
7.4 Customer shall verify information about subcontractors, consortium members, joint ventures and partners, and is responsible for partner permissions, confidentiality, final integration and accuracy of partner content. BnR360 does not verify their authority, capacity or commitments.
8. Knowledge library, reuse and retrieval
8.1 Where Customer builds a knowledge repository or reuses prior proposals, Customer is responsible for the content, for whether it remains accurate, current and suitable, and for whether it contains another party's confidential information or breaches a confidentiality duty. Customer should review the library periodically and remove obsolete, inaccurate or unauthorised items.
8.2 GenRapide may retrieve prior Customer material (proposals, project descriptions, resumes, methodologies, templates) to help with new responses. Customer-specific retrieval, indexing, embeddings and search are not general model training. The AI Addendum governs training and AI Providers.
9. Third-party and confidential material
9.1 Customer must have lawful authority to upload RFPs, tender documents, competitor information, client documents, subcontractor information and confidential documents, and shall not upload procurement information obtained improperly, including competitor bids, unreleased scoring information, confidential evaluation notes, unauthorised pricing data and internal procurement information.
9.2 Customer shall not upload classified or similarly restricted information unless BnR360 has expressly agreed in writing that the deployment is authorised for it, and shall decide whether material is subject to export control, government security restrictions, controlled technical information rules or handling restrictions in contracts.
9.3 Where GenRapide is used for public sector contracting, Customer is responsible for compliance with procurement rules on bidder eligibility, conflicts, lobbying, certifications, security, integrity, debarment and anti-corruption. BnR360 does not represent that GenRapide is approved by a government, certified by a procurement authority, authorised for classified data or meets any government security standard, unless expressly stated in an Order Form.
10. Deadlines, amendments, portals and final submission
10.1 GenRapide may display or extract deadlines. Customer shall independently verify the date, time, time zone, portal and extensions. BnR360 is not responsible for a missed deadline caused by inaccurate Customer data, incorrect interpretation, portal outage, Customer delay, third-party outage or failure to verify the official deadline.
10.2 Customer is responsible for ensuring that all amendments, addenda, clarifications, questions and answers, and deadline changes are given to or reflected in GenRapide, and for working from the current version of the solicitation. BnR360 cannot take account of documents it has not received, and GenRapide does not detect every external amendment.
10.3 Unless expressly supported, GenRapide does not guarantee submission to a procurement portal, and where an integration exists the portal's rules and availability apply. Customer is responsible for uploading, transmitting, signing, certifying and submitting the final proposal, for every representation, certification and declaration to a procuring authority, and for ensuring only an authorised signatory executes them. BnR360 does not authorise a false certification.
10.4 Customer shall not configure GenRapide to submit AI-generated proposals automatically without meaningful human review.
11. Pricing, legal content and decisions
11.1 GenRapide may help organise financial and commercial response information. Customer is responsible for rates, prices, taxes, discounts, margins, calculations and assumptions, and shall verify material calculations. GenRapide provides no financial, accounting or tax advice.
11.2 GenRapide may identify or summarise legal or regulatory provisions and draft contract terms. That is not legal advice and does not replace review of the actual text. A procurement requirement may have legal consequences beyond its ordinary meaning, and BnR360 does not warrant that AI interpretation matches the procuring authority's.
11.3 Customer decides whether to disclose exceptions, deviations, assumptions and qualifications.
12. Review features, outcomes and predictions
Review features that identify weaknesses, gaps, quality, compliance or readability are advisory. BnR360 does not guarantee how an evaluator will interpret or score a response, or any shortlist, passing score, award, increased win rate or revenue. An estimate of likely score or probability of success is a prediction and not a promise.
13. Integrity
Customer shall not use GenRapide to process competitor information obtained unlawfully, to facilitate bid rigging, price fixing, cover bidding, coordinated false bids, market allocation or collusion, or to create or conceal bribes, kickbacks, improper commissions, fraudulent invoices or corrupt arrangements. Customer remains responsible for determining whether it, its personnel, subcontractors and partners are subject to sanctions, exclusion, suspension or debarment, and shall not use GenRapide to transfer controlled technical information unlawfully.
14. Customer inputs, human review and workflow
14.1 Quality of output depends substantially on Customer Data, instructions and configuration. Customer is responsible for them. Ambiguous instructions may be misread.
14.2 Material output shall be reviewed by qualified personnel, for example the proposal manager, subject matter expert, pricing lead, resource manager, security specialist and legal counsel. Customer shall maintain internal review stages, approval authority, version control and submission responsibility. BnR360 is not responsible for the absence of Customer's internal review.
15. Confidentiality, access and collaborators
Proposal information may be highly confidential. Customer shall apply appropriate access controls, limit access by role and need, be responsible for external consultants, partners and subcontractors who it allows to use GenRapide, and shall not expose one partner's confidential information to another without authority.
16. Data protection, retention and export
Personal data processed through GenRapide is governed by the DPA and the Privacy Policy. Customer shall set retention appropriate to proposals, RFPs, personnel information, client information and procurement requirements, and shall periodically remove obsolete, inaccurate or no longer authorised information. Customer may export data as the Product and the Master Subscription Agreement allow, and is responsible for exported files.
17. Integrations, APIs and security of uploads
17.1 GenRapide may integrate with document storage, productivity tools and procurement systems. Third-party availability is outside BnR360's control. Where APIs are available, Customer shall comply with authentication, rate limits, documentation and security rules, and shall not use unauthorised bots or scripts.
17.2 Customer shall not upload files intended to compromise AI processing, exploit systems, introduce malware or extract other customers' information. RFPs and uploads may contain text that can influence AI processing (prompt injection). BnR360 may implement safeguards and may scan uploads for threats, but does not guarantee prevention or detection.
18. Availability, models and usage
Availability is as in clause 17 of the Master Subscription Agreement. An AI Provider may suffer outages, latency, rate limits or model unavailability, and BnR360 may substitute an alternative model or provider whose results may differ. Results from different models are not identical, and the same input may not generate identical output. Beta functions may be less reliable and may change or be withdrawn. Usage limits apply to documents, file size, tokens, AI requests, storage, users and projects, and additional charges may apply as an Order Form states.
19. Professional services
GenRapide is intended to assist proposal writers, bid managers, subject matter experts, capture teams and business development personnel and does not remove the need for qualified human review. Proposal writing or consulting services are provided only if an Order Form or statement of work expressly identifies them. Use of GenRapide alone does not mean BnR360 has taken professional responsibility for Customer's proposal.
20. Indemnity, liability, suspension and change
20.1 Customer's indemnity in clause 31 of the Master Subscription Agreement extends to claims arising from false proposal representations, fabricated qualifications, unauthorised reuse of third party content, unlawful disclosure of confidential procurement information, bid rigging, corruption, Customer's final submission, failure to obtain candidate authorisation and misuse of AI output.
20.2 BnR360's liability is as clauses 14, 30, 33 and 34 provide. To the extent the law allows, and without increasing any limit, BnR360 is not liable for loss from bid rejection, disqualification, lower evaluation score, missed opportunity, unsuccessful tender, or failure to win a contract, nor for procuring authority decisions, evaluator interpretation, changes in procurement rules, portal failures or cancellation of a procurement.
20.3 BnR360 may suspend GenRapide for security risk, unlawful activity, misuse, sanctions, procurement fraud or material breach of the AUP, and may modify, restrict or discontinue a feature because of AI model changes, legal requirements, security, technical improvement, provider availability or regulatory change.
21. In-product checkpoints
GenRapide will show the notices in Schedule A to the AI Addendum, including the AI-assisted content notice before generation, the mandatory requirement notice, the verify source notice for AI-generated citations, and a final submission review before export, which asks the user to confirm that an authorised member of the organisation has reviewed mandatory and rated requirements, instructions, deadlines and time zone, pricing, corporate experience, resumes and qualifications, client references, certifications, attachments, amendments and addenda.
22. Law and contact
Nothing excludes rights or duties that cannot lawfully be excluded. Law and forum follow clause 42 of the Master Subscription Agreement. Contact: support@bnr360.com, H#C-40, Karachi University Staff Town, Karachi, Pakistan.
