1. Purpose and precedence
1.1 This NeuroHire Product Addendum (the “NeuroHire Addendum”) supplements the Master Subscription Agreement, the Order Form, the DPA, the AUP and the AI Addendum, and applies whenever Customer subscribes to or uses NeuroHire.
1.2 For NeuroHire-specific matters this NeuroHire Addendum prevails over the Master Subscription Agreement, except clauses 14, 30, 33 and 34 of that Agreement. The DPA prevails for personal data, and the AI Addendum for general AI matters unless this NeuroHire Addendum is stricter.
1.3 NeuroHire is a higher-risk Product because it assesses candidates, may record audio and video, and supports employment decisions. This Addendum is therefore stricter than the others.
2. The Service
NeuroHire is an AI-assisted candidate assessment and recruitment support platform. Depending on configuration it may support competency assessments, scenario-based questions, descriptive responses, written analysis, recorded audio and video responses, transcription, communication analysis based on content and structure, candidate scoring and recommendation, AI-assisted evaluation, and review by recruiters or hiring managers.
3. Nature of NeuroHire
3.1 NeuroHire is a decision support platform. It is not an employer, hiring manager, employment agency acting for Customer, psychologist, medical professional, licensed psychometric assessor (unless an Order Form expressly says so), background-check provider, legal adviser or final employment decision-maker.
3.2 Customer determines the role, job requirements, assessment criteria, candidate population, assessment sequence, minimum thresholds, human review process, hiring process and final decision.
4. Assessment components
NeuroHire may include: best choice questions (scenario-based questions intended to assess competencies or reasoning); descriptive questions (open responses that give information about communication, reasoning, problem solving and understanding); audio and video assessment (recorded responses that are transcribed and analysed on the content of what is said and, where the Analysis Module is enabled and lawful, as clause 6 describes); and AI scoring (scoring, recommendation or classification based on the information available).
5. No clinical or psychological validity
5.1 Unless a specific assessment has been professionally validated and expressly described in an Order Form as such, BnR360 does not warrant that NeuroHire is a clinical psychological test, a medical assessment, a validated psychometric examination, a diagnostic tool or a scientifically validated predictor of job performance. Outputs are not psychiatric, psychological, medical or mental health diagnoses.
5.2 Scores relating to characteristics such as communication, reasoning, adaptability, leadership, technical competency or behavioural indicators are decision support information. NeuroHire labels them in neutral terms, for example communication and scenario response indicator. Customer shall not represent a score as IQ, EQ or a clinical or scientifically proven measure unless the assessment has been validated for that purpose, and shall not make marketing claims of that kind without evidence.
6. Analysis Module and prohibited uses
6.1 In addition to scoring based on the content of responses, NeuroHire includes an optional analysis module (the “Analysis Module”) that may analyse facial expression, analyse voice, including voiceprint and speaker matching, and infer emotion or similar signals from recorded audio and video. The Analysis Module is higher risk, is off by default, and is available only on the conditions in this clause 6. Customer shall not use NeuroHire, with or without the Analysis Module, to: (a) infer health, disability, neurodivergence, sexual orientation, religion, political opinion, race, ethnicity or another protected characteristic; (b) detect lies or deception, or present any output as a lie detector result; (c) make or support a decision based solely on Analysis Module output; or (d) present a score as IQ, EQ or a clinical or scientifically validated measure.
6.2 Restricted Territories and conditions. The Analysis Module is disabled and unavailable for any candidate located in, and for any role based in, the European Union, the European Economic Area, the United Kingdom, Illinois, Texas, Washington State or Quebec (the “Restricted Territories”). Customer shall not enable it for, or attempt to circumvent that restriction in respect of, a candidate or role in a Restricted Territory. Elsewhere, the Analysis Module may be enabled only if Customer: (a) obtains each candidate’s explicit written consent, given separately from any other consent and before any recording or analysis begins; (b) offers each candidate an assessment that does not use AI or the Analysis Module, with no penalty for choosing it; (c) ensures a qualified Human Reviewer considers the candidate’s actual responses and context and makes an independent decision, and never uses the Analysis Module output as the sole basis of a decision; and (d) has completed every assessment, notice, audit and registration that local law requires. BnR360 does not route NeuroHire data to DeepSeek.
6.3 Local law and Customer responsibility. Laws on biometric, emotion and AI analysis in employment change and differ by place, and BnR360 cannot track every local rule for every candidate. Customer is responsible for knowing the laws that apply to its candidates and roles, shall tell BnR360 in writing of any law, ban or restriction that applies, and is solely responsible for any use of the Analysis Module that is unlawful where the candidate or role is located. After notice BnR360 will disable the Analysis Module for the territory concerned within a reasonable time, and BnR360 may disable it at any time. This does not shift to Customer any obligation that law places directly on BnR360 as provider, which BnR360 performs, including by keeping the Analysis Module disabled in the Restricted Territories whether or not Customer gives notice. Any use in breach of this clause is a breach of the AUP and clause 31 of the MSA applies.
6.4 Technical availability of a feature does not make its use lawful.
7. Candidate data and sensitive data
7.1 NeuroHire may process candidate identity and contact data, resume and employment information, assessment responses, descriptive answers, audio and video recordings, transcripts, scores, AI-generated analysis, and recruiter and hiring manager comments.
7.2 Audio, video and facial images may be sensitive or biometric personal data in some jurisdictions or in certain circumstances, and may reveal protected characteristics. Customer shall use enhanced care and is responsible for determining whether a recording or any processing is subject to biometric, sensitive data, employment, AI or consent laws, and for providing notice, written consent, retention schedules, destruction policies and disclosure limits where those laws require. BnR360 will comply with obligations that the law places directly on it.
8. Notice, consent and recording
8.1 Customer is responsible for every notice and consent required before a candidate takes an assessment, including notice about AI use, recording, automated assessment, profiling, retention and sharing with service providers.
8.2 NeuroHire shows a candidate a notice about the assessment and a separate acknowledgement of recording before audio or video recording starts. BnR360 provides technical consent functions, but does not decide whether Customer's wording meets every law applicable to Customer. Where a jurisdiction requires stronger or written consent, Customer shall use the required local wording.
8.3 Customer shall not use NeuroHire to record a candidate secretly, or where law requires notice or consent that has not been given. Customer shall ensure it has lawful authority to record, store, transcribe, analyse, review, disclose and share recordings.
9. Jurisdiction restrictions
BnR360 may disable, limit, modify, geofence or condition access to a feature wherever needed because of AI regulation, biometric law, employment law, privacy law or regulatory guidance. These include the AI Act (employment AI classified as high-risk, emotion recognition in recruitment prohibited), the Illinois Artificial Intelligence Video Interview Act and Biometric Information Privacy Act, other state biometric laws, New York City Local Law 144, Canadian and provincial privacy and employment rules, and Middle East, South East Asian, Australian and Pakistani rules in Schedule A to the Master Subscription Agreement. Customer shall not assume that use is lawful.
10. AI scoring and human review
10.1 Scores, rankings, summaries, recommendations and category assessments are automated decision support. NeuroHire shows an AI-assisted suggested result and not a final decision.
10.2 Customer shall not use NeuroHire output as the sole basis for an employment decision where Applicable Law requires meaningful human review, or where the decision materially affects an individual and sole reliance would be unlawful or inappropriate. A qualified Human Reviewer shall consider the candidate's actual experience and the relevant responses and context, shall not rubber-stamp a score, and shall make an independent decision.
10.3 Customer is solely responsible for final hiring, rejection, advancement, promotion, disqualification and offer decisions, and for how scores are weighted, how candidates are compared and what other evidence is considered. NeuroHire shall not be configured to issue a final rejection automatically without meaningful Customer review, unless expressly agreed, lawful and configured.
10.4 Where Customer configures thresholds or passing criteria, including a percentage match threshold, they are Customer-configured decision aids and not scientific or legal guarantees. Customer shall ensure they are relevant, lawful and not discriminatory.
10.5 BnR360 does not warrant that a highly ranked candidate will perform well, that a low-ranked candidate is unsuitable, that NeuroHire will identify the best candidate, that scores predict performance, or that any hire will succeed, quality of hire, retention, reduced turnover or savings.
11. Accuracy and fairness
11.1 Output may be affected by incomplete information, recording quality, accent, dialect, language, background noise, camera quality, lighting, model limitations, model or prompt updates and Customer's configuration. Automated analysis may not capture disability, cultural communication differences, language proficiency, neurodivergence, temporary stress, accessibility needs or technical problems, and Customer shall consider relevant context.
11.2 BnR360 does not warrant that output is accurate, complete, unbiased, scientifically conclusive, culturally neutral in every country or suitable for every role, or that translation or localisation of assessments is error free. Customer shall verify important translated content.
11.3 Customer shall not use NeuroHire to discriminate unlawfully, shall not use protected characteristics as decision criteria where unlawful, and shall take reasonable care that its criteria do not act as proxies. Customer shall review whether its use disproportionately excludes a group, uses criteria not related to the job, or creates adverse impact, and shall commission any independent bias audit, algorithmic audit or impact assessment that the law requires. BnR360 will give reasonable information under clause 25 of the AI Addendum.
11.4 NeuroHire may fall within the definition of an automated employment decision tool in some jurisdictions, depending on configuration and use. Customer shall decide whether such rules apply.
12. Accessibility, accommodations and alternatives
Customer is responsible for legally required accommodations. It should consider whether audio or video formats disadvantage candidates with hearing, speech, visual, mobility or neurodivergence needs, and shall provide a reasonable alternative assessment process where the law requires or where a candidate cannot reasonably complete the assessment.
13. Assessment design
13.1 Customer is responsible for ensuring that assessment criteria are relevant, proportionate, job-related, lawful and non-discriminatory, and that questions that it creates or accepts from AI generation are reviewed before deployment. Customer shall not knowingly ask unlawful employment questions. BnR360 does not warrant that AI-generated questions are lawful in every jurisdiction.
13.2 Results depend on Customer's competencies, role requirements, question sets, scoring weights and thresholds, for which Customer is responsible where it controls them.
14. Assessment integrity
14.1 Customer and candidates shall not impersonate, share answers, complete another person's assessment, falsify recordings, tamper with scores or bypass controls.
14.2 Unless NeuroHire expressly provides verified identity or proctoring, BnR360 does not guarantee that the person who takes an assessment is the named candidate and does not provide formal proctoring. A separate service may be needed. Customer shall investigate suspected fraud itself. Indicators are not a guarantee of detection. Customer decides whether retakes are allowed.
14.3 Recordings may be affected by network, device, browser permission, microphone, camera and upload issues, and BnR360 does not guarantee flawless recording.
15. Audit trail and versions
Where technically feasible, NeuroHire will record for significant hiring events the candidate identifier, assessment version, date and time, questions presented, responses, provider and scoring version used, AI-generated result, any manual score change, the reviewer, and the disposition entered by Customer. Customer should keep or be able to identify the assessment version used where a result may affect a decision. This is a control and is not a promise that every third-party model exposes a precise version.
16. Retention, access and secondary use
16.1 Customer shall set retention for responses, scores, audio, video, transcripts and derived analysis according to recruitment needs, law, notices, consent and limitation periods. Where retention controls are provided, Customer shall select an appropriate period. Customer shall not keep sensitive recordings indefinitely merely because no deletion request has been made.
16.2 Recordings and assessments should be accessible only to persons with a legitimate need. When Customer downloads a recording it becomes responsible for the copy. Customer shall not reuse assessment information for an unrelated purpose without lawful authority, and shall share it only through secure channels.
16.3 BnR360 may retain limited information longer for legal holds, fraud, security, statutory requirements and dispute resolution. Deletion requests are handled under Customer's instructions, the DPA, backups and mandatory law.
17. Minors, healthcare and security
17.1 NeuroHire is intended for adult candidates. Customer shall not use it to assess persons under 18 unless lawful, parental or guardian consent is obtained where required, and BnR360 has expressly agreed that the use case is supported. It is not intended to diagnose medical, neurological, psychiatric or mental health conditions.
17.2 BnR360 will maintain safeguards under the Master Subscription Agreement and DPA. Customer is responsible for its user access, exported recordings, accounts and roles. Customer shall not assume NeuroHire holds a certification, accreditation or regulatory approval unless BnR360 confirms it. Regulated customers must document extra controls in an Order Form or security schedule.
18. AI Providers and changes
NeuroHire functions may rely on AI Providers, including for transcription and scoring. The AI Addendum and clause 14 of the Master Subscription Agreement apply. BnR360 or an AI Provider may update models, algorithms, scoring and analysis methods, which may change results. BnR360 may modify NeuroHire, remove higher-risk features or change AI Provider.
19. Suspension of a high-risk feature and cooperation
BnR360 may suspend a feature immediately where continued use presents material legal, privacy, biometric, discrimination or security risk. Customer shall reasonably cooperate when BnR360 asks for information to assess whether a deployment is lawful. The Parties shall cooperate on valid regulatory inquiries and on reportable AI incidents, discrimination issues, security incidents and privacy breaches, as the AI Addendum, clause 28, provides. Customer's administrators and decision-makers should be trained on AI limits, human review, discrimination risk, privacy and interpretation of assessments. BnR360's documentation does not replace Customer's own legal compliance.
20. Candidate-facing notices
20.1 Before an assessment, NeuroHire will display notice in substance as follows. “About this assessment. This assessment is being conducted on behalf of the organisation named above using NeuroHire, an AI-assisted assessment platform provided by BnR360. Your responses may be analysed using automated technology to assist the organisation in evaluating your application. Depending on the assessment the organisation selected, this may include analysis of written responses, or of audio or video responses by transcribing what you say. AI-generated scores and recommendations are intended to support human review and are not intended to make the final hiring decision on their own. Please review the privacy information below before continuing.”
20.2 Before recording: “I understand that this assessment includes audio and video recording and that the recording and related analysis will be processed for the recruitment purpose described above.” Customer's own privacy notice should be linked.
21. Indemnity, liability, law and contact
Customer's indemnity in clause 31 of the Master Subscription Agreement extends to claims arising from Customer's unlawful employment decisions, failure to obtain consent, discriminatory deployment, unlawful recording or retention, use of unsupported criteria or features, and disclosure of candidate data. BnR360's liability is as clauses 14, 30, 33 and 34 provide, creates no separate or unlimited liability, and does not make BnR360 the guarantor of an AI Provider. Nothing excludes candidate rights or duties that cannot be excluded. Law and forum follow clause 42 of the Master Subscription Agreement.
