1. Purpose and precedence
1.1 This Sphere Product Addendum (the “Sphere Addendum”) supplements the Master Subscription Agreement, the Order Form, the DPA, the AUP and the AI Addendum, and applies whenever Customer subscribes to or uses Sphere.
1.2 For Sphere-specific matters this Sphere Addendum prevails over the Master Subscription Agreement, except clauses 14, 30, 33 and 34 of that Agreement. The DPA prevails for processing of personal data, and the AI Addendum for general AI matters unless this Sphere Addendum is stricter.
2. The Service
Sphere is an applicant tracking, recruitment, relationship management and bid-response collaboration platform. Depending on subscription and configuration it may support applicants, candidates, jobs, recruiters, clients, partners, credentials, security clearances, corporate references, interviews, candidate matching, bid-response collaboration, reporting and integrations.
3. BnR360's role
3.1 Sphere is software. By providing it, BnR360 does not become the employer or prospective employer, a recruitment agency for Customer, hiring manager, interviewer, placement decision-maker, immigration adviser, security-clearance authority or background-check provider.
3.2 Customer determines positions, job requirements, candidate criteria, sourcing methods, interview process, hiring and rejection criteria, final candidates, offers and every employment decision. Sphere assists and does not replace Customer's responsibility.
4. Candidate data and sourcing
4.1 Depending on configuration, Sphere may process candidate name, contact details, resume, work history, education, skills, certifications, credentials, references, security clearance information, notes, job preferences, application history, recruiter communications and match results. Customer controls what it submits.
4.2 Candidate information may come from direct applications, uploads, recruiters, Customer databases, authorised job platforms, referrals and integrations. Customer is responsible for whether the source permits its use, and for lawful authority, privacy notices, consents, recruitment notices, retention, deletion, accuracy and employment law compliance.
4.3 In most deployments Customer is the controller and BnR360 is the processor under the DPA. Candidates' rights requests are ordinarily handled by Customer, with the processor assistance in the DPA.
5. Resume parsing and data quality
Sphere may extract information from resumes. Parsing may misread, omit, misclassify or merge information, mis-date entries or misunderstand formatting. Customer should verify material parsed information before relying on it. Sphere does not independently certify candidate-provided information.
6. Matching, scores and recommendations
6.1 Sphere may compare candidate information against job descriptions, Customer requirements, bid requirements and resource criteria. The result is an automated assessment of the information available. It is not a determination that a candidate is qualified, should be hired, meets every requirement or has given accurate information.
6.2 Match percentages, rankings, suitability scores and recommendations are decision support indicators. Sphere presents them as requirement match, based on the profile information and requirements configured for the opportunity, and not as a measure of suitability. A higher score does not guarantee better performance or lawful suitability, and a score may change because of a model update, a change to job requirements, a new resume or a configuration change, which does not of itself indicate a fault.
6.3 Matching depends heavily on Customer-defined job descriptions, mandatory requirements, skills, keywords, criteria and thresholds. Customer is responsible for ensuring they are lawful and appropriate, and for the legality of its job descriptions and postings. Sphere does not validate them.
6.4 Where technically available, Sphere may show the main factors behind a match. BnR360 does not promise a complete explanation of a third-party model.
7. Human review and hiring decisions
7.1 Customer shall maintain meaningful human review of recommendations. A recruiter or hiring manager shall independently review qualifications, experience, role requirements, relevant documents and interview results.
7.2 Customer shall not rely solely on a Sphere recommendation where Applicable Law requires human involvement, individual assessment, notice, explanation or an alternative review.
7.3 BnR360 does not hire, reject, terminate, promote, offer employment or set compensation. Customer does. BnR360 does not warrant that a recommended candidate will perform, remain employed, have an accurate resume or pass screening, or that Customer will meet its recruitment objectives.
8. Employment law, discrimination and notices
8.1 Customer is responsible for compliance with employment, human rights, equal opportunity, anti-discrimination, accessibility and recruitment law. BnR360 is responsible for obligations that the law imposes directly on BnR360.
8.2 Customer shall not use Sphere to discriminate unlawfully, or intentionally configure it to exclude or disadvantage people on a protected ground (which, depending on jurisdiction, may include race, ethnicity, religion, sex, disability, age, pregnancy, sexual orientation, gender identity, marital or family status). Customer shall take reasonable care that criteria do not operate as proxies for them.
8.3 Automated systems may show error or statistical bias and are not neutral merely because they are algorithmic.
8.4 Where Applicable Law requires notice that AI is used, that automated matching occurs, that a service provider processes candidate data, or that profiling or automated decision-making occurs, or consent for any of them, Customer is responsible, unless an Order Form expressly assigns it to BnR360. Where automated employment decision laws apply, Customer is responsible for notice, audit, bias assessment, impact assessment, explanation and human review as the AI Addendum, clause 25, provides.
10. Credentials, clearances, references and checks
10.1 Sphere may record and track credentials, certifications, licences, training, expiry dates, corporate references, prior projects and security clearance level, status, expiry and renewal. It is a record management and notification tool. BnR360 does not issue, renew, validate or guarantee any clearance, licence or credential. Customer shall obtain authoritative confirmation where needed. Sphere alerts about expiry are convenience features that do not guarantee against expiry.
10.2 Customer is responsible for the authenticity and validity of credentials and references and for authority to use them without disclosing confidential information.
10.3 Unless a separate module or integration says so, Sphere does not perform criminal, credit, reference or identity checks, and does not provide immigration advice or verify work authorisation. Customer shall engage authorised providers where necessary.
10.4 Customer should not upload unnecessary passport numbers, national identity numbers, social insurance numbers or similar identifiers, and should restrict sensitive fields by role.
11. Bid-response collaboration and partners
11.1 Sphere may support collaboration on the staffing and resource parts of bids and proposals, including candidate assignment, partner participation, resume collection and compliance information. Where Customer uses ProWin Prep or similar multi-partner functionality, Customer is responsible for partner authorisation, bid confidentiality, access permissions, accuracy of submitted information and final proposal content. BnR360 does not become party to Customer's bid or partner arrangement. Use of Sphere does not guarantee compliance, evaluation success, award or acceptance of proposed personnel.
11.2 Sphere may hold information about clients, partners, subcontractors, vendors and contacts. Customer shall process it lawfully and in accordance with contractual confidentiality.
11.3 Customer administrators assign roles and are responsible for appropriate access of Authorised Users and external partners, for restricting confidential information, and for ending access. BnR360 is not responsible where a user gains access because Customer assigned an overly broad role.
12. Integrations
12.1 Sphere may integrate with LinkedIn and other job or professional platforms, calendars, email, HR systems and other tools. Integrations depend on third-party API availability, permissions, Customer authorisation and the platform's terms. Customer shall comply with them. BnR360 does not control LinkedIn APIs, account restrictions, permission changes, policy enforcement or outages.
12.2 Where OAuth is used, Customer authorises Sphere to use the tokens and permissions only for the integration, and may revoke them in the third-party platform.
12.3 A third-party platform may change, limit or end an integration. BnR360 may modify or discontinue an integration if support ends, it becomes unlawful, there are security concerns, or commercial terms change materially. Clause 14 of the Master Subscription Agreement applies.
12.4 For integrations with Customer HR systems, Customer is responsible for lawful access, credentials, data mapping and configuration.
13. Communications, interviews and notes
13.1 Where Sphere enables communications with candidates, Customer is responsible for content, lawful contact, anti-spam compliance and opt-out. Customer shall not configure automated communications that mislead candidates, falsely suggest a human wrote a message where disclosure is required, or breach electronic communications law. BnR360 does not guarantee delivery of emails, notifications or alerts.
13.2 Sphere may store or manage interview-related information. Unless a purchased module provides it, it does not include scheduling, video interviewing or calendar orchestration. Customer is responsible for interview notes being relevant, professional, free of unlawful discriminatory content and appropriately retained.
14. Data import, migration, retention and export
14.1 Customer may import candidate and organisational data and warrants lawful authority. If BnR360 performs migration as an additional service, Customer remains responsible for source accuracy, lawful access and required records, and for validating migrated records. BnR360 is not responsible for errors in source systems.
14.2 Customer shall set retention appropriate to recruitment purposes, consent, employment law and limitation periods, and shall not hold candidate data indefinitely without a legitimate reason. On Customer's instruction BnR360 will delete candidate data under the DPA and clause 25 of the Master Subscription Agreement, subject to backups and legal retention.
14.3 Customer is responsible for exported files once exported.
15. Prohibited recruitment conduct
In addition to the AUP, Customer shall not use Sphere to create or manage fake or fraudulent job postings, harvest personal data, collect unlawful recruitment fees, engage in exploitative recruitment, human trafficking, forced labour, coercive recruitment, unlawful passport retention or fraudulent migration schemes, or to threaten, harass, stalk or intimidate candidates, or manipulate logs to hide unauthorised access or changes.
16. Reports, outcomes and AI providers
16.1 Dashboards and reports reflect available data and may be inaccurate if Customer data is incomplete. BnR360 does not guarantee that Sphere will reduce hiring cost, increase placements, improve fill rates, shorten time to hire, increase bid win rates or revenue. Marketing statements about benefits are not guarantees unless an Order Form says so.
16.2 Sphere AI features depend on AI Providers. The AI Addendum and clause 14 of the Master Subscription Agreement apply. BnR360 may update or replace matching models, and Customer has no right to a specific model.
17. Suspension, termination, availability and mobile access
17.1 BnR360 may suspend Sphere for non-payment, serious security risk, unlawful use, privacy violation, fraudulent recruiting or material breach of the AUP. Termination and export are governed by clauses 24 and 25 of the Master Subscription Agreement.
17.2 Availability is governed by clause 17 of the Master Subscription Agreement. Where Sphere is accessed through a Mobile App, clause 22 of that Agreement applies.
18. Liability, law and contact
Customer's indemnity in clause 31 of the Master Subscription Agreement extends to claims arising from Customer's employment decisions, candidate data, notices and consents, discriminatory use and unauthorised candidate submission. BnR360's liability is as clauses 14, 30, 33 and 34 provide, and no separate or unlimited liability arises. Nothing excludes rights that cannot lawfully be excluded. Governing law and forum are as in clause 42 of the Master Subscription Agreement. Contact: support@bnr360.com, H#C-40, Karachi University Staff Town, Karachi, Pakistan.
